Your use of the website and the consulting, design, and software development services provided by Oceanus Infotech is subject to the following Terms and Conditions.
By accessing the Oceanus Infotech website or contacting us for business inquiries, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you are prohibited from using our website and services.
All technical proposals, price estimations (quotations), and project proposals submitted by the Oceanus Infotech team are valid for 14 calendar days from the date of issuance. This limitation accounts for cost fluctuations in third-party services, such as API licenses, cloud servers, and external hardware costs.
Messages sent via contact forms or email do not constitute a legally binding service contract. The entire Scope of Work, development timelines, payment terms, and feature specifications will be agreed upon and signed separately in a Master Service Agreement (MSA) or Memorandum of Understanding (MoU).
Pre-contract and Development Phase: All initial visual assets, wireframes, design prototypes, and source code remain the exclusive property of Oceanus Infotech until all milestone payment obligations are fulfilled by the client.
Post-Completion: Upon receipt of full payment, usage rights or ownership of the custom software and design assets will be transferred to the client in accordance with the specific terms outlined in the Master Service Agreement.
Client-Owned Assets: The client warrants that all logos, text, images, and data provided to Oceanus Infotech for use in the project are legally owned by the client, and the client indemnifies Oceanus Infotech from any third-party copyright infringement claims.
Both parties agree to maintain the confidentiality of business information, source code, marketing strategies, and customer data exchanged during the evaluation period and project execution. A separate Non-Disclosure Agreement (NDA) may be signed prior to the exchange of critical data.
Our coding, design, and integration services are executed to high industry professional standards. However, Oceanus Infotech is not liable for any direct or indirect financial losses, loss of business profits, or data corruption resulting from:
Operational errors or negligence by the client’s internal staff.
Third-party service failures (e.g., downtime on AWS/GCP cloud hosting providers, breaches on the payment gateway side).
Force Majeure events, including but not limited to natural disasters, pandemics, mass power outages, or government policies restricting internet access.
These Terms and Conditions, as well as any derivative service agreements, shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising shall first be resolved through amicable deliberation for consensus. If a mutual agreement cannot be reached, the dispute shall be settled exclusively through the jurisdiction of the district courts in Oceanus Infotech’s operational area.
